Shipment Delivery

Sitro Technologies Inc. (herein called the "Seller") shall not be liable for manufacturing delays caused by the act of God, fire or accidents, or other reasons beyond the Seller's reasonable control.
Unless otherwise stated, all orders are F.O.B. Seller's dock. The Buyer agrees to pay all transportation costs including, but not limited to, insurance, custom duties, sales and excise taxes.
The Buyer is responsible for providing the Seller with any special shipping instructions. In the case where the Buyer does not have a preferred carrier, the Seller may arrange transportation for the buyer and charge a service overhead.
Delivery dates are estimates and not binding. All risk of loss shall pass to the Buyer upon release to carrier. If Seller prepays freight charges, such charges will be added to the invoice and paid by the Buyer. Delivery to and receipt by the Buyer or its designated receiver shall constitute full acceptance of the product.

Payment

Subject to credit approval, all accounts for shipments destined within Canada and the United States will be at net thirty (30) days from the date of invoice. Orders over $50,000 in the currency of the invoice require 60% deposit with the purchase order prior to production and is non-refundable once production commences.
The buyer agrees to pay CAD$30 for each failed cheque to cover the bank process fee.

Late Charges

Any amount past due may be subject to a late charge of 1.9% monthly or the maximum amount allowed under applicable law, whichever is less.

Limited warranty

Seller warrantees to the original Buyer that each product sold will be free from defects in material and workmanship in its intended use for the period of one (1) year from the date of purchase from Seller. After one (1) year, replacements or repairs will be billed at the standard rate.
Returns for warranty issues must be made by the appropriate process and subject to the return authorization process within the applicable time.
Upon examination, Seller will repair or replace the approved warranty item at its discretion and does not include removal or reinstallation including without exception labor costs or expenses. If the approved warranty item has been discontinued, Seller reserves the right to substitute with a comparable product.
Materials must be tested upon receiving and prior to installation to ensure they are in working condition and that the order has been received complete.
Damage and shortage claims must be reported to Seller within 10 days after receipt of goods.
Seller makes no warranty as to the suitability of the product for any particular application.
All products must be installed in compliance with local and national codes, laws, and regulations. Seller will not be responsible for damage to any product resulting from misuse, negligence, acts of God, accident, or repairs or alterations made by any person or firm not authorized by Seller in writing.

Third Party Warranties

With respect to products sold by Seller but not made by Seller, Seller makes no warranty of any kind, express or implied, without limitation to the merchantability or fitness for a particular purpose. Seller will endeavor to provide the appropriate contacts for these items with their manufacturer.

No Implied Warranties

THE WARRANTIES GIVEN IN THESE TERMS ARE THE ONLY WARRANTIES GIVEN BY THE MANUFACTURER WITH RESPECT TO THE PRODUCTS AND ARE GIVEN IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, OF NON INFRINGEMENT AND OF FITNESS FOR A PARTICULAR PURPOSE. BUYER'S EXCLUSIVE REMEDIES, AND MANUFACTURER'S SOLE LIABILITY, FOR ANY NONCONFORMITY OR DEFECT IN ANY PRODUCT SHALL BE THOSE EXPRESSED HEREIN.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL SELLER'S LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR SELLER'S PERFORMANCE OR ASSERTED FAILURE TO PERFORM HEREUNDER, IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE PURCHASE PRICE OF THE PRODUCT TO WHICH SUCH LIABILITY RELATES. IN NO EVENT SHALL SELLER BE LIABLE FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM LOSS OF USE, PROFITS, BUSINESS OR GOODWILL, WHETHER OR NOT SELLER HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. Seller is not responsible for labor charges.

Return Policy

Custom cut lighting is not returnable.
Returns because of LED color will not be accepted.
Seller, may at its sole discretion, accept the return of products for credit less a restocking fee of 30% that the Buyer agrees to pay. Returns are subject to inspection and final approval of suitability of return, and issuance of a credit less the appropriate restocking fee. Returns for credit will be considered for up to 6 months after invoice date or ship date, whichever is earlier. Consideration of a return does not constitute approval of a credit or refund.

Miscellaneous

Should any legal action be enforced and the Seller prevails, the Buyer is required to cover the Seller's attorney's fee and any operation and related cost occurring during the period.

Privacy Disclaimer

Seller does not give out nor sell customer information to third parties. All contact and/or financial information are solely for internal use.
